Terms of Service

1. Acceptance
By registering or using RedAlive services you accept these Terms of Service. If you do not agree, do not use the service.
2. Service Description
RedAlive is a SaaS platform that offers conversational automation with artificial intelligence for WhatsApp, Facebook Messenger and Instagram, and scheduled publication of content provided by the user on social networks. The service operates under a monthly subscription model.
3. Accounts and Responsibilities
The user is responsible for:
- Providing truthful information at the time of registration.
- Maintaining the confidentiality of their access credentials.
- The content (texts, images, videos) they upload and publish through the platform.
- Complying with applicable laws and Meta policies (WhatsApp, Facebook, Instagram).
- Obtaining necessary consents from their end clients to automate responses.
4. Acceptable Use
The user agrees not to use RedAlive for:
- Sending spam, fraudulent, illegal or misleading content.
- Impersonating people or organizations.
- Violating intellectual property rights of third parties.
- Distributing malware, viruses or any malicious code.
- Performing unsolicited mass messaging that violates Meta policies.
- Any activity that may result in suspension of the user's Meta accounts.
5. Plans and Usage Quotas
Each RedAlive plan includes a monthly quota of conversations. If usage exceeds the quota, the user will be notified and may opt for plan upgrade or purchase of complementary credits. In case of exceeding without action, the bot service operates in minimum receptionist mode (automatic courtesy message + handoff to human) until the next billing cycle.
6. Billing and Cancellation
Billing is made in advance monthly through Stripe. The user can cancel their subscription at any time from their admin panel, effective at the end of the billed period. No refunds are made for partially used periods, except in specific cases established in consumer protection regulations.
7. Intellectual Property
The user retains all rights to the content they upload to the platform. RedAlive only obtains the necessary license to process, store and publish it on their behalf during the contract's validity. RedAlive owns the software, design and other platform elements.
8. Service Availability
We aim to maintain availability above 99% monthly, but the service may experience interruptions due to scheduled maintenance, failures of external providers (Meta, Anthropic, OpenAI, Stripe) or force majeure causes. External provider interruptions are outside our control and do not generate automatic contractual compensation.
9. Limitation of Liability
RedAlive shall not be liable for indirect damages, lost profits, loss of business opportunities, or for the suspension of third-party accounts (including Meta) arising from use of the service. RedAlive's total liability to the user, for any cause, is limited to the amount paid by the user in the three months prior to the event giving rise to the claim.
10. Modifications to the Terms
RedAlive may modify these Terms of Service. Substantial changes will be notified by email at least 30 days before their entry into force. Continued use of the service after notification constitutes acceptance of the changes.
11. Applicable Law
These Terms are governed by the laws of the United Mexican States. Any controversy shall be submitted to the jurisdiction of the competent courts of the Controller's domicile, the parties waiving any other jurisdiction that may correspond to them.
